Article I: Name
This organization shall be known as the Illinois Community College Faculty Association, herein referred to as the Association.
Article II: Purpose
The Association shall represent the common interests of the faculties in Illinois public community and junior colleges and shall be the voice of these faculties. It shall sponsor activities for innovative programs and professional development and disseminate information of concern to these faculties.
Article III: Membership
All employees working as full- or part-time faculty at an Illinois public community or junior college are members of the Association.
Article IV: Delegate Assembly
The Delegate Assembly shall conduct the business of the Association. The Delegate Assembly shall meet in regular session not less than one time per academic year at a time, place, and modality designated by the Executive Committee. A special session may be called by a two-thirds majority of the Executive Committee or by a simple majority of the Association’s membership. Such a call shall include the time, date, place, modality, and purpose of the special session, which shall be limited to the stated purpose.
Each Illinois public community college campus is entitled to two (2) voting delegates. Each campus shall determine its own method for selecting or electing its delegates.
Article V: Elected Officers
The elected officers of the Association shall be: President, President-Elect, Vice-President for Legislative and Governing Board Affairs, Vice-President for Membership and Delegate Affairs, Recording Secretary, and Treasurer. All elected officers must remain faculty from within the Illinois public community college system.
Article VI: Duties of the Officers
1. President: Shall preside over all meetings of the Association and the Executive Committee; appoint, with Executive Committee approval, all members of permanent and ad hoc committees; serve as an ex officio member of all committees except the Nominating Committee; and be responsible for directing all activities of the Association. Term: two (2) years.
2. President-elect: Shall assist the President and, in the President’s absence, preside over meetings and fulfill the responsibilities of the presiding officer. The President-Elect shall be elected in even-numbered years and serve a two-year term.
3. Vice-President for Legislative and Governing Board Affairs: Shall represent the Association in all legislative matters, disseminate legislative information, facilitate member action on legislation endorsed by the Executive Committee, and maintain liaison with the Illinois Community College Board and other relevant bodies. Elected in odd-numbered years for a two-year term.
4. Vice-President for Membership and Delegate Affairs: Shall encourage member and delegate participation; maintain campus contact lists; disseminate meeting information; and assist with registration at Delegate Assemblies. Elected in even-numbered years for a two-year term.
5. Recording Secretary: Shall maintain minutes of all meetings, distribute them as needed, maintain records, and preserve archival materials. Elected in odd-numbered years for a two-year term.
6. Treasurer: Shall collect and manage Association funds; assist with budget planning; report financial status at meetings; and prepare records for audit. The Treasurer shall be bonded at the Association’s expense. Elected in even-numbered years for a two-year term.
7 Vacancies: Should any office become vacant, the Executive Committee may appoint a replacement for the unexpired term. In the interim, the President, or President-Elect in the event of a presidential vacancy, shall assume duties as needed, or delegate authority to another member of the Executive Committee.
Article VII: Committees
1. Executive Committee: Shall conduct Association business as directed by the Delegate Assembly. It shall include all elected officers, all officers At-Large, standing committee chairs, regional coordinators, the ICCB faculty board member, Association representatives to ICCB advisory committees, the ICCB liaison, and the immediate past President.
2. Standing Committees:
— Teaching and Learning Initiatives
— Illinois Articulation Initiative
— Student Scholarship Committee
— Nominating Committee (appointed by the President with Executive Committee approval at least 60 days prior to annual elections)
3. Ad Hoc Committees: May be appointed by the President with Executive Committee approval.
Article VIII: Meetings
The Delegate Assembly shall be convened once per calendar year, typically during the Annual Conference, and may also be convened for a special session, as determined by the Executive Committee. If no conference is held, the Delegate Assembly shall convene by other means. The Executive Committee shall determine meeting and assembly meeting modalities (i.e., in-person, online).
Article IX: Elections
Elections shall occur during the Delegate Assembly. Only elected delegates may vote. Nomination and balloting procedures shall be outlined in the By-Laws.
Article X: Finance
The Finance Committee, consisting of the Treasurer, President, and immediate Past-President, shall establish and oversee the financial system of the Association.
Article XI: Amendments
This Constitution may be amended by one of the following methods:
1)Proposed by any elected officer and endorsed by a two-thirds vote of the Executive Committee (after being introduced and discussed in at least one prior meeting), and then ratified by a two-thirds vote of the delegates present and voting at the Delegate Assembly.
2)Proposed directly at the Delegate Assembly by a delegate and supported by at least ten (10) other delegates. If properly submitted, it shall be placed on the agenda and may be adopted by a two-thirds vote of the delegates present and voting.
Article XII: Ratification
This Constitution shall become effective upon ratification by a two-thirds vote of the delegates present and voting at the Delegate Assembly.
